Develop and Implement Governance Policies
- Create and enforce corporate governance policies and procedures to ensure compliance with regulatory requirements, industry best practices, and internal standards. Establish frameworks for effective decision-making, risk management, and internal controls.
Board Support and Governance Matters
- Organize and facilitate board meetings, prepare meeting agendas and materials, and record accurate minutes. Ensure compliance with corporate governance codes and regulations.
Compliance Oversight
- Monitor and ensure compliance with relevant laws, regulations, and corporate policies. Develop compliance programs, conduct risk assessments, and implement internal control mechanisms to mitigate legal and regulatory risks. Stay updated on changes in legislation and regulatory requirements.
Ethics and Integrity
- Promote a culture of ethics and integrity within the organization. Develop and implement codes of conduct, whistleblower mechanisms, and policies related to anti-bribery, anti-corruption, and conflicts of interest. Provide training and awareness programs to employees regarding ethical practices.
Stakeholder Engagement
- Engage with shareholders, investors, regulators, and other stakeholders to address governance-related concerns. Maintain effective communication channels to facilitate transparency, accountability, and trust.
Corporate Disclosure and Reporting
- Oversee the preparation and submission of timely and accurate applicable reports.
Risk Management
- Develop, implement, and monitor a comprehensive risk management strategy, aligned with business objectives, regulatory requirements, and industry best practices, while promoting a proactive risk management culture.
Internal Audit Coordination
- Coordinate with internal audit teams to ensure independent and objective assessments of corporate governance processes, controls, and compliance. Implement corrective actions based on audit findings and recommendations.
Corporate Secretary
- Own and deliver against all aspects of legal and regulatory matters, including Company Secretary functions, arranging General Meetings of Shareholders, arranging BOD/SLT and BOC meetings, and preparing minutes of meetings and slide decks for such meetings.
- Provide legal support and execution for business restructuring, mergers/amalgamation, acquisitions, and other strategic deals or special projects
- Liaise with public notaries, external lawyers, and government authorities in relation to general corporate, licensing, and corporate secretarial matters
Kualifikasi
- Bachelor's or Master's degree in business administration, law, finance, or a related field
- Minimum 10-15 years experience in the corporate governance function, of which at least 5 years in a managerial capacity in the design of a corporate governance framework and development of a delegation of authority matrix
- In-depth knowledge of corporate governance principles, regulations, and best practices.
- Familiarity with relevant legal and regulatory frameworks governing corporate governance and compliance.
- Strong understanding of financial reporting, internal controls, and risk management.
- Excellent communication, interpersonal, and influencing skills.
- Analytical mindset with the ability to identify and address governance-related risks.
- Attention to detail and ability to work under pressure and meet deadlines.
- Professional certifications such as Certified Corporate Governance Professional (CCGP) or Certified Compliance and Ethics Professional (CCEP) are often preferred.
