Job Description
- Lead and oversee the Company’s corporate legal, commercial legal, litigation, advocacy, regulatory compliance, and data governance functions in alignment with business strategy and corporate governance requirements.
- Provide strategic legal and compliance advice to the Board of Directors, Management, and business units concerning corporate actions, business transactions, contracts, disputes, regulatory matters, and strategic initiatives.
- Monitor and interpret applicable laws, regulations, industry standards, and Telkom Group policies, and ensure their timely implementation through appropriate policies, procedures, controls, and business processes.
- Establish and oversee legal and compliance risk management, including compliance monitoring, legal risk assessments, regulatory reporting, issue escalation, and completion of corrective and preventive actions.
- Direct the management of corporate and commercial agreements, legal due diligence, litigation, claims, disputes, investigations, and engagement with regulators, government institutions, law-enforcement authorities, and external legal counsels.
- Oversee the implementation of the Company’s data governance framework, including data ownership, data quality, classification, access, usage, protection, retention, sharing, and lifecycle management.
- Ensure effective legal and compliance awareness programs, including anti-bribery and corruption, fraud prevention, conflict of interest, regulatory compliance, and responsible data management.
- Lead and develop the Corporate Legal & Compliance organization, manage its performance and resources, and provide periodic reports on material legal cases, compliance risks, regulatory developments, and data governance implementation to Management and relevant governance bodies.
Requirements
- Minimum Bachelor’s Degree in Law or other related fields.
- Minimum 5–7 years of relevant experience in Corporate Legal, Commercial Legal, Regulatory Compliance, Litigation, or other related Legal and Governance functions.
- Minimum 3 years of experience in a senior leadership or managerial position.
- Proven experience in leading multidisciplinary Legal and Compliance functions within a large-scale or highly regulated organization.
- Possesses comprehensive knowledge of Corporate Law, Commercial & Contract Law, Regulatory Compliance, Litigation, Dispute Resolution, and Corporate Governance.
- Demonstrates strong capabilities in Corporate & Commercial Law, Contract Drafting, Negotiation & Management, and Legal Advisory.
- Possesses strong expertise in Regulatory Compliance Management, Regulatory Monitoring & Impact Analysis, and Legal & Compliance Risk Management.
- Experienced in Litigation, Dispute Resolution, Legal Advocacy, investigations, and legal risk mitigation.
- Has a strong understanding of Corporate Governance and Board Advisory, including providing strategic legal recommendations to senior management.
- Possesses a strong understanding of Compliance Risk Management, Internal Controls, Anti-Bribery & Corruption, Fraud Prevention, and Conflict-of-Interest Management.
- Has a good understanding of Data Governance, Personal Data Protection, Information Management, and technology-related legal risks.
- Demonstrates strong leadership, business acumen, strategic and analytical thinking, decision-making, legal and ethical judgment, and risk awareness.
