Job Description
- Provide strategic legal advice and guidance to all divisions regarding legal risks, compliance matters, and business decision-making to ensure effective legal risk mitigation.
- Act as a key legal advisor to management, including identifying potential legal exposures and preparing management with appropriate legal strategies, opinions, and preventive measures.
- Handle end-to-end legal processes, including drafting, reviewing, negotiating, and managing legal documents related to:
- (1) Sales and partnership activities (e.g. cooperation agreements, partnership agreements, NDAs, MOUs, and other commercial contracts);
- (2) Corporate and management-related matters (e.g. General Meeting of Shareholders/RUPS, corporate resolutions, OSS licensing, corporate actions, and regulatory filings).
- Ensure all agreements and legal documents are legally sound, aligned with business objectives, and compliant with prevailing laws and regulations.
- Maintain and manage a centralized contract and legal documentation database, including executed versions, amendments, and renewals.
- Coordinate and liaise with external legal counsel, notaries, government institutions, regulators, and other relevant parties in relation to company legal matters.
- Perform other legal duties as required to support company operations and governance.
Requirements
- Must have Bachelor’s degree in Law; Master’s degree or professional legal certification is a plus.
- Minimum 3–5 years of experience as in-house legal or legal counsel, preferably in a SaaS, Technology, or Marketplace company.
- Strong capability in providing legal advice, identifying legal risks, and implementing risk mitigation strategies, including preparing management for potential legal implications.
- Solid understanding of Indonesian corporate law, contract law, licensing (OSS), company regulations, and shareholder/management matters (RUPS, board resolutions, etc.).
- Demonstrated ability to translate complex legal issues into clear, practical recommendations for business and management stakeholders.
- Experience coordinating with external lawyers, notaries, regulators, and government authorities.
- High attention to detail, strong analytical skills, and the ability to work independently with minimal supervision.
- Strong integrity, professionalism, and ability to handle confidential information.
